Terms of Service

1. Acceptance of these terms

By installing or using Drive Downloader (the "Application"), published by Spacesdock ("Spacesdock", "we", "us"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not install or use the Application.

The Application is licensed, not sold. Use of the Application requires a valid Spacesdock license for Drive Downloader.

2. License and device entitlements

A Spacesdock license for Drive Downloader currently entitles the licensee to activate the Application on:

• One (1) Windows device, and
• One (1) macOS device.

The license is associated with the Spacesdock license key the licensee purchased. License and device-entitlement rules, including activation, deactivation, and replacement of a device slot, are governed by the terms that apply to the purchased Spacesdock product at the time of purchase.

You may deactivate a device from within the Application at any time to free up that device slot for another device. Activation of a device requires a valid Spacesdock license key and a successful device-entitlement check against Spacesdock's licensing service.

3. License key, account and authentication

Your Spacesdock license key is your authorization to use the Application on a device. You are responsible for keeping your license key confidential and for not sharing it with parties outside your household or organization.

Drive Downloader also requires you to sign in with your Google account in order to access Google Drive. Your Google sign-in is governed by your agreement with Google, and your use of Drive Downloader's Google integration is in addition to, not in replacement of, Google's own terms.

4. Acceptable use of Drive Downloader

You may use Drive Downloader only:

• For personal or internal business use consistent with the license you have purchased;
• To download Google Drive files and folders that you have lawful permission to access, including files you own, files that have been shared with you by the file owner, or files that are publicly accessible on the web; and
• In compliance with these Terms, the Spacesdock terms applicable to your purchase, and Google's terms.

5. Your responsibilities for Drive access

You are responsible for:

• Ensuring that you have the right to download each Google Drive file or folder you target through Drive Downloader.
• Honoring any restrictions set by the file owner, including shared-link permissions, organization sharing rules, and download-prevention flags.
• Honoring your own Google account's restrictions, including Workspace policies, account holds, and storage quotas.

Drive Downloader does not override Google Drive access controls, does not bypass Google account quotas, and does not bypass Workspace or file-owner restrictions. If Google, the file owner, or your Workspace administrator blocks a download, Drive Downloader will not produce that file.

6. No guarantee of availability or success

The Application's ability to download a specific file or folder depends on:

• Google's services being reachable and operating normally at the time of the download;
• The file still existing and still being accessible to the user's Google account at the time of the download;
• The user's network connection between Drive Downloader and Google;
• The user's local disk having enough free space for the download; and
• Workspace, organization, or file-owner restrictions that may apply to the specific file or folder.

Spacesdock does not guarantee that any particular file or folder will be downloadable, that downloads will complete at any particular speed, or that the Application will be available without interruption. Drive Downloader is provided as a convenience tool that respects Google's access controls.

7. Software updates

Spacesdock may release updates to Drive Downloader from time to time. These updates may include bug fixes, performance improvements, compatibility changes, security patches, or new features. By installing the Application, you agree that future updates may be delivered through Spacesdock's update channel and applied at your discretion.

Some updates may be required to keep the Application compatible with Google's Drive API, with your operating system, or with current Spacesdock licensing terms. Spacesdock does not commit to maintaining every prior version of the Application indefinitely.

8. Intellectual property

The Application, including its code, design, branding, and documentation, is the intellectual property of Spacesdock or its licensors and is protected by applicable copyright, trademark, and other laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Application in accordance with your purchased Spacesdock license. They do not transfer ownership of the Application to you.

9. Termination and revocation

Spacesdock may suspend or terminate your license and your ability to use the Application if it reasonably determines that you have:

• Used the license key in violation of these Terms or the Spacesdock purchase terms;
• Shared the license key outside your household or organization;
• Used the Application to download content in violation of the rights of a third party or of applicable law;
• Engaged in fraudulent, abusive, or unlawful activity in connection with the license, the Spacesdock account, or the Application.

You may stop using the Application and deactivate your device at any time by uninstalling the Application and using the deactivation control in the Application's settings.

10. Disclaimer of warranties

The Application is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Spacesdock disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Application will be uninterrupted, error-free, or free of harmful components.

11. Limitation of liability

To the maximum extent permitted by applicable law, Spacesdock will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Application, including loss of data, loss of business opportunity, or inability to download a particular file. Spacesdock's total aggregate liability for any claim relating to the Application will not exceed the amount you actually paid Spacesdock for the relevant Drive Downloader license.

Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable law.

12. Changes to these Terms

Spacesdock may update these Terms from time to time. Material changes will be reflected by updating the effective date above. Continued use of the Application after an updated effective date constitutes acceptance of the updated Terms.
